These Terms of Use ("Terms") govern your access to and use of the Coinask platform, website, applications, and related services (collectively, the "Service") provided by COINASK INC., a company incorporated in Delaware ("Coinask", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Eligibility
You may use the Service only if you are at least 18 years old and capable of forming a binding contract under applicable law.
By using the Service, you represent and warrant that:
- you are at least 18 years old;
- you have the legal capacity to enter into these Terms;
- your use of the Service complies with all applicable laws, rules, and regulations.
2. Nature of the Service
Coinask is an AI-powered software platform that provides access to information, market data, analytics, interface tools, and API-based connectivity features related to digital assets and other market-related information.
Coinask is a technology service provider. The Service is designed to help users access, organize, review, and interact with information and third-party integrations through a software interface.
Coinask is not a bank, broker, dealer, exchange, investment adviser, commodity trading adviser, financial institution, custodian, wallet provider, money transmitter, or fiduciary.
Coinask does not:
- hold, control, or custody user funds or digital assets;
- accept deposits;
- maintain user trading accounts;
- provide investment, financial, legal, tax, or accounting advice;
- exercise discretionary authority on behalf of users.
Where the Service supports API-based connectivity with third-party platforms, Coinask acts solely as a software interface layer based on user-provided instructions, permissions, and confirmations.
3. Human-in-the-Loop and User-Controlled Actions
Coinask operates on a human-in-the-loop basis.
This means that Coinask does not submit instructions to connected third-party services absent user initiation and, where applicable, user review and confirmation through the Service.
You acknowledge and agree that:
- you are the sole decision-maker with respect to your use of the Service;
- Coinask does not exercise judgment or discretion on your behalf;
- you remain responsible for reviewing any information, request, action preview, or confirmation screen made available through the Service before proceeding.
You are solely responsible for determining whether any action initiated through your use of the Service is appropriate for your circumstances.
4. No Advice; No Offer or Solicitation
The Service and all content, outputs, analytics, summaries, interface suggestions, AI-generated responses, and other materials made available through the Service are provided for informational and software interface purposes only.
Nothing in the Service constitutes or should be interpreted as:
- investment advice;
- financial advice;
- legal advice;
- tax advice;
- accounting advice;
- a recommendation or endorsement;
- an offer, solicitation, or invitation to buy, sell, hold, transfer, or otherwise enter into any transaction.
Any decisions made by you based on information provided through the Service are made solely at your own discretion and risk.
5. AI-Generated Outputs
The Service may include AI-generated content, responses, summaries, insights, classifications, or interface suggestions.
You acknowledge and agree that:
- AI-generated outputs may be incomplete, inaccurate, outdated, inconsistent, or unsuitable for your intended purpose;
- AI outputs may contain errors, omissions, hallucinations, or misinterpretations;
- Coinask does not guarantee the accuracy, completeness, reliability, availability, or fitness of any AI-generated output.
You should independently review and verify any information before relying on it or acting on it.
6. Market Data and Third-Party Data Disclaimer
The Service may display or process market data, asset data, account data, analytics, or other information originating from third-party sources.
Such information may be delayed, incomplete, inaccurate, unavailable, or presented with latency. Coinask does not guarantee that any data displayed through the Service is real-time, complete, error-free, or suitable for any particular purpose.
You acknowledge that:
- third-party data feeds may change or fail without notice;
- displayed balances, prices, historical information, account data, and related analytics may differ from the records of the relevant third-party platform;
- data presentation issues, synchronization delays, and API interruptions may occur.
You remain solely responsible for verifying any information with the relevant source before relying on it.
7. Third-Party Services and API Integrations
The Service may allow you to connect third-party services, including exchanges, data providers, infrastructure providers, communication providers, model providers, and other external platforms ("Third-Party Services").
Your use of any Third-Party Service is subject to that third party's own terms, policies, technical limitations, fees, availability, and operational decisions.
Coinask does not own, operate, or control Third-Party Services and is not responsible for:
- their availability, downtime, or discontinuation;
- API failures, interruptions, delays, incompatibilities, or changes;
- errors, omissions, or inaccuracies in data provided by them;
- their actions, omissions, restrictions, compliance decisions, or security practices;
- losses or damages resulting from your use of Third-Party Services.
Coinask may add, remove, suspend, limit, or modify integrations, endpoints, models, providers, or related features at any time for legal, compliance, technical, commercial, security, or operational reasons.
8. API Credentials and Connected Accounts
If you choose to connect a third-party account or service using API credentials or similar access methods, you are responsible for:
- ensuring that you are authorized to use those credentials;
- configuring permissions appropriately;
- maintaining the confidentiality and security of your credentials;
- monitoring activity associated with your connected accounts.
Coinask does not request or enable withdrawal permissions and does not control fund transfers from user accounts.
You acknowledge that the security and operation of connected accounts depend in part on the policies, systems, permissions, and controls of the applicable Third-Party Services.
9. User Responsibilities
You are solely responsible for:
- your use of the Service;
- all prompts, requests, instructions, approvals, confirmations, and decisions you submit through the Service;
- reviewing information and confirming any action before it is transmitted or processed;
- compliance with applicable laws, regulations, and third-party terms;
- verifying the accuracy, completeness, and suitability of any content, output, or data.
You agree not to rely on the Service as a substitute for professional advice, independent verification, or your own judgment.
You are solely responsible for any tax reporting, disclosures, filings, or other legal or regulatory obligations arising from your activities.
10. Accounts
You may be required to create an account to access certain features of the Service.
You are responsible for:
- maintaining the confidentiality of your account credentials;
- restricting access to your account and devices;
- all activity occurring under your account.
You must notify us promptly if you suspect unauthorized access, account compromise, or a security incident affecting your account.
We may suspend, restrict, or terminate accounts, access, or features where reasonably necessary to protect the Service, comply with law, address misuse, reduce legal or security risk, or protect other users or third parties.
11. Beta, Experimental, and Preview Features
From time to time, Coinask may offer features identified as beta, preview, experimental, pilot, early access, or similar.
Such features may be incomplete, unstable, changed, suspended, or discontinued at any time without notice. Beta or experimental features may have reduced reliability and are provided on an additional as-available basis without any obligation to continue supporting them.
Your use of such features is entirely at your own risk.
12. Acceptable Use
You agree not to:
- use the Service for any unlawful, fraudulent, deceptive, abusive, or harmful purpose;
- violate any applicable law, sanctions program, export control requirement, or third-party right;
- interfere with, disrupt, probe, scan, or attempt unauthorized access to the Service or related systems;
- reverse engineer, scrape, copy, or exploit the Service except as permitted by applicable law;
- misuse AI features, automate abusive behavior, or overload the Service;
- upload or transmit malicious code, malware, or harmful content;
- use the Service in a manner that could damage, disable, impair, or overburden the Service or third-party systems.
We may investigate suspected misuse and may suspend or terminate access in response.
13. Sanctions, Export Controls, and Restricted Use
You may not use the Service in violation of any applicable sanctions, export controls, trade restrictions, or similar laws and regulations.
By using the Service, you represent and warrant that:
- you are not located in, organized in, or ordinarily resident in a jurisdiction subject to comprehensive sanctions to the extent prohibited by applicable law;
- you are not listed on any applicable government restricted-party list;
- you will not use the Service in connection with any prohibited person, prohibited end use, or prohibited destination.
We may restrict or terminate access where necessary to comply with applicable law or risk controls.
14. Intellectual Property
The Service, including its software, design, features, functionality, branding, content, and underlying technology, is owned by Coinask or its licensors and is protected by applicable intellectual property laws.
Subject to these Terms, Coinask grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for its intended purpose.
You may not copy, modify, distribute, reproduce, republish, create derivative works from, sell, lease, or otherwise exploit the Service except as expressly permitted by us in writing.
15. User Content and Service License
As between you and Coinask, you retain ownership of the content, prompts, inputs, data, and materials you submit to the Service ("User Content"), subject to the rights you grant in these Terms.
You grant Coinask a non-exclusive, worldwide, royalty-free license to host, use, process, transmit, store, reproduce, format, adapt, and display User Content solely as reasonably necessary to:
- provide, maintain, and improve the Service;
- operate requested features and integrations;
- secure, monitor, debug, and support the Service;
- comply with applicable law and enforce these Terms.
You represent and warrant that you have all rights necessary to submit User Content and to grant the foregoing license.
16. Feedback
If you provide feedback, suggestions, ideas, or recommendations regarding the Service, you grant Coinask a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use and incorporate such feedback without restriction or compensation to you.
17. Fees and Paid Features
Certain features of the Service may be offered on a paid, subscription, or usage-based basis now or in the future.
If paid features are introduced:
- applicable pricing, billing terms, and subscription details will be provided separately;
- fees are generally non-refundable except as required by law or expressly stated otherwise;
- we may change pricing, packaging, or features upon prior notice where required.
Unless expressly stated otherwise, Coinask does not currently process payments directly.
18. Service Availability and Changes
We may modify, update, suspend, discontinue, or restrict any part of the Service at any time, with or without notice, to the extent permitted by law.
We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.
Features may change over time, including integrations, AI models, data sources, user interfaces, access conditions, and supported jurisdictions.
19. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
COINASK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR QUIET ENJOYMENT.
WITHOUT LIMITING THE FOREGOING, COINASK DOES NOT WARRANT THAT:
- THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
- THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR SUITABLE FOR ANY PURPOSE;
- THE SERVICE WILL BE AVAILABLE WITHOUT INTERRUPTION, DELAY, OR ERROR;
- ANY THIRD-PARTY INTEGRATION, MODEL, OR DATA SOURCE WILL REMAIN AVAILABLE OR FUNCTION AS EXPECTED.
20. Risk Acknowledgment
You acknowledge that activities involving digital assets, market data, external platforms, APIs, and AI-enabled software features involve risk, including technological, operational, market, legal, compliance, and third-party risk.
You understand that:
- digital asset markets may be volatile;
- third-party platforms may impose restrictions, delays, outages, or operational changes;
- data feeds and AI outputs may be delayed, incomplete, or inaccurate;
- connectivity failures, configuration issues, and user errors may occur;
- actions initiated based on your own instructions may result in losses.
You assume full responsibility for evaluating and accepting such risks.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COINASK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:
- YOUR USE OF OR INABILITY TO USE THE SERVICE;
- ANY AI-GENERATED OUTPUT OR OTHER CONTENT;
- ANY MARKET DATA, THIRD-PARTY DATA, OR DISPLAYED INFORMATION;
- ANY THIRD-PARTY SERVICE OR INTEGRATION;
- ANY API FAILURE, INTERRUPTION, DELAY, RESTRICTION, OR CHANGE;
- ANY USER DECISION, INSTRUCTION, CONFIGURATION, OR ACTION;
- UNAUTHORIZED ACCESS, SECURITY INCIDENTS, OR DATA LOSS;
- ERRORS, OMISSIONS, OR DELAYS IN CONTENT OR SYSTEM FUNCTIONALITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COINASK'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO COINASK FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (USD 100).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.
22. Indemnification
You agree to defend, indemnify, and hold harmless Coinask and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your use or misuse of the Service;
- your violation of these Terms;
- your violation of any applicable law, regulation, sanctions program, export control restriction, or third-party right;
- your User Content, prompts, instructions, approvals, or actions through the Service;
- your use of any Third-Party Service in connection with the Service.
23. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if:
- you violate these Terms;
- we believe your use presents legal, compliance, security, reputational, or operational risk;
- required by law or by a third-party provider;
- we discontinue the Service or a relevant feature.
Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including provisions relating to ownership, licenses, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
24. Privacy
Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and protect personal data.
25. Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
26. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.
To the extent permitted by law, you waive any objection to such jurisdiction or venue.
27. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we may provide notice through the Service, by email, or by other reasonable means. Your continued use of the Service after updated Terms become effective constitutes your acceptance of the updated Terms.
28. General Terms
These Terms constitute the entire agreement between you and Coinask regarding the Service and supersede any prior or contemporaneous understandings relating to the Service.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets.
